Long-Term Incentives
Overview
FutureSense evaluates, designs, and communicates Long-Term Incentive (LTI) Plans across a wide range of client types and needs. Our services ensure your program is properly aligned with your intentions, entity type, capabilities, and objectives.
Purpose
We start with discussions and data reviews that will define the “why” of your plan. Understanding your intentions is critical to creating a program that will meet your goals.
We then review your entity, your funding, and your stage of development. C-Corps, S-Corps and LLCs all offer unique challenges and opportunities. Private companies and public companies can benefit from different rules and perspectives. Companies that are planning on a future IPO require different considerations than those who are already public, or that will never become public traded.
Your LTI plans must align with your budget, your corporate structure, the location of eligible participants, your administrative capabilities, and many other considerations. We ensure that everyone thoroughly understands these critical success factors before designing a program.
Delivery Mechanism
LTIs can deliver value via cash, equity, and even tokens. With a clear understanding of the framework we define the best tools and path for delivering long-term value for your company. These programs may include one or a combination of the following:
Cash: Delivered upon performance achievement or deferred a later company or life event
Real equity: Restricted Stock, Stock Options, and RSUs that vest based on time, performance, or company transactions.
LLC Units: Carried Interests, Profits Interests, and options over units that support the unique structure of LLCs
Synthetic equity: Phantom Stock, Stock Appreciation Rights (SARs), Synthetic Units that vest based on time, performance, or other factors.
Terms and Conditions
A well-designed LTI program will align vesting, employment status, performance triggers, and potential future corporate transactions to payout timing and values. These elements allow a company to custom fit their plan to their specific needs.
Determining How Much
Only after you understand the details of the program and individual awards can you properly determine the size and potential value of awards. This process blends market data with your unique profile to create awards that support your intentions. This requires an understanding of market conditions, the competitive landscape, and your company profile.
Communications
Long-Term Incentives require education and communication to build perceived value. Our communications service can be as limited or as immersive as you need and want. Our standard design and evaluation services include essential presentations, participant modeling tools and more.
